Welcome to ValensPrep (operated by NByC Growth Pathways and Solutions, referred to herein as "ValensPrep", "we", "us", or "our").

By accessing our website, purchasing our courses, utilizing our AI Oral Sim Engine, or engaging in our consulting services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

1. Educational Purposes Only (Not Medical Advice)

The Services provided by ValensPrep—including but not limited to the MCQ Vault, Transition-to-Practice (TTP) modules, diagnostic audits, and AI simulations—are for educational and examination preparation purposes only.

  • No Doctor-Patient Relationship: Nothing in our Services constitutes the practice of medicine or the provision of medical advice.

  • Clinical Application: Protocols, drug dosages, and clinical scenarios discussed are simulated for exam preparation based on historical guidelines (e.g., CAS Guidelines). You are solely responsible for verifying current, localized clinical guidelines before applying any knowledge in a real-world clinical setting.

2. No Affiliation and No Guarantee of Results

  • No Affiliation: ValensPrep is an independent educational platform. We are not affiliated with, endorsed by, or sponsored by the Royal College of Physicians and Surgeons of Canada (RCPSC), the Canadian Anesthesiologists' Society (CAS), the Canadian Medical Protective Association (CMPA), or any provincial medical licensing authority.

  • No Guarantee: While our Services are designed to improve your understanding of the Canadian Anesthesia landscape, we do not guarantee that you will pass the RCPSC exam, successfully obtain Practice Eligibility Route (PER) approval, or secure employment/licensure in Canada.

3. Use of AI and Simulation Engines

Our platform utilizes artificial intelligence (the "ValensAI Engine") to simulate oral board examinations and generate clinical scenarios.

  • While we strive for high fidelity, AI systems can occasionally generate inaccurate or "hallucinated" information.

  • You agree to use clinical judgment and refer to official textbooks and CAS guidelines as the ultimate source of truth. ValensPrep is not liable for any inaccuracies generated by the AI simulator.

4. Intellectual Property and Account Usage

  • Ownership: All content, including but not limited to MCQs, video masterclasses, diagnostic frameworks (e.g., the D-A-C™ Protocol), graphics, and text, are the exclusive property of ValensPrep.

  • License: Upon purchase, you are granted a limited, non-exclusive, non-transferable license to access the Services for your personal study.

  • Prohibited Conduct: You may not share your account credentials, record, download, reproduce, distribute, or commercially exploit any part of our Services. Account sharing will result in immediate termination without a refund.

5. Payments, Subscriptions, and Refunds

  • Platform: Payments and course hosting are securely processed through our third-party provider, Podia.

  • Subscriptions: If you are on a subscription tier, your access will be automatically billed according to the term selected (e.g., monthly or 6-month cycles) until cancelled.

  • Refund Policy: Due to the immediate access to proprietary digital content and intellectual property, all sales are generally final and non-refundable. Exceptions may be made at our sole discretion or explicitly stated on specific high-ticket coaching applications. Consulting fees (such as CV audits) are non-refundable once the audit has been conducted.

6. Limitation of Liability

To the maximum extent permitted by applicable law, ValensPrep, Dr. MOH, and associated directors, employees, or contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of income, loss of career opportunities, or medical malpractice claims arising from your use of, or inability to use, the Services.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Saskatchewan and the federal laws of Canada applicable therein, without regard to their conflict of laws provisions.

8. Specific Terms for Consulting & PER Readiness Audits

For clients purchasing 1-on-1 consulting, the "Initial Eligibility Audit", or Executive Coaching (the "Consulting Services"), the following specific terms also apply:

  • Scope of Service: The Initial Eligibility Audit consists of a one-time, 20-minute strategic consultation and a preliminary gap analysis based on user-provided data. This provides high-level guidance on the Practice Eligibility Route (PER) or Jurisdiction-Approved pathways.

  • Independent Consulting Disclosure: Dr. Mofolashadé Onaolapo (operating through The Valens Institute/NByC) provides these services as an independent educational consultant, entirely separate from roles at the University of Saskatchewan and the Saskatchewan Health Authority.

  • Non-Binding: The advice provided in the Audit is an expert opinion and does not guarantee a successful application or exam result.

  • Exhaustion of Service: The audit fee is deemed fully earned upon the completion of the 20-minute Zoom session or the delivery of the preliminary roadmap.

  • Credit Toward Future Services: Should the Client be accepted into the Elite Mentorship Fellowship or Blueprint package within 30 days of the Audit, the audit fee will be applied as a credit toward the total enrollment cost. This credit is non-transferable and has no cash value outside of this offer.

  • Cancellation Policy: Cancellations made less than 24 hours before the scheduled Audit are non-refundable. One reschedule is permitted per Client, provided 24 hours' notice is given.
